Terms and conditions of sale

1. Purpose of the contract

These General Terms and Conditions (GTC) apply to all services provided by Rogue Sàrl (hereinafter referred to as «ROGUESTUDIO»), whether for one-off projects or monthly support contracts. All services must be formalized and accepted, in writing or tacitly, by both parties prior to their commencement.

2. Terms of payment

A deposit is required to confirm the start of any one-off project.
For projects under CHF 10,000: payment in one instalment (100%) or in two instalments (50% on signature, 50% on delivery).
For projects over CHF 10,000: payment in four stages: 30% at signature, 30% mid-term, 30% final phase, and 10% on delivery.

For one-off projects, final payment must be made before the final files are returned and/or put online.
For support contracts and web maintenance, the first year is invoiced on a pro rata basis until the end of the current calendar year. Thereafter, invoicing resumes annually, starting on January 1 of each year. These contracts are invoiced monthly or quarterly, depending on the formula chosen. Invoices are issued at the beginning or end of the month for the coming month (prepayment).

3. Payment deadlines, delays and penalties

Invoices are payable within 10 days. In the event of late payment, a reminder fee of CHF 30 may be charged. Any significant delay may result in temporary suspension of services or delivery of deliverables in progress.

4. Back and forth, modifications and additions to projects

Up to three modification cycles are included when mentioned in the offer. Any additional modifications will be invoiced at an hourly rate of CHF 160.00, or will be subject to a specific quotation.

5. Deadlines and project duration

Deadlines are set by mutual agreement between ROGUESTUDIO and the customer. They may change according to the progress of the project and the elements transmitted. The project begins on receipt of the deposit and all necessary elements. It ends as agreed by both parties. ROGUESTUDIO makes every effort to meet agreed deadlines, provided that the customer supplies the required elements on time. In the event of project extension, deadlines and costs may be re-evaluated.

6. Recurring contracts: operation and specific conditions

Annual support packages are invoiced on a recurring basis according to the number of hours scheduled per month. Services are provided at a preferential hourly rate.
Hours are valid for the current month only and cannot be carried over, unless agreed in advance in writing.
If a request falls within the scope of the missions defined in the contract but exceeds the monthly hourly envelope, ROGUESTUDIO may decide to integrate it into the overall package, without additional invoicing.
Any request exceeding the initial scope of the contract (by nature, size or frequency) will be timesheeted and added to the next monthly invoice.
Depending on the nature of the request, an independent quotation may be offered for processing outside the support contract.

The number of hours agreed in the contract may only be exceeded at the customer's request, and any additional hours will be invoiced at the current preferential rate.
Contracts are concluded for an initial period of 12 months, tacitly renewable from year to year.
They can be terminated in writing with 30 days' notice to the end of the current month.
Monthly invoices are issued at the beginning or end of the month for the coming month.
In the event of non-payment, benefits may be suspended until payment has been made.

7. Intellectual property, copyright and rights of use

Deliverables remain the property of ROGUESTUDIO until full payment has been received. Rights of use are transferred upon receipt of full payment. ROGUESTUDIO reserves the right to mention its creations in its references, and to discreetly affix its signature if relevant.
Unless otherwise requested in writing, ROGUESTUDIO reserves the right to present the deliverables produced (visuals, screenshots, etc.) for communication or promotional purposes (website, social networks, presentations, etc.).

8. External expenses and subcontracting

Additional costs (e.g. purchase of licenses, printing, etc.) are at the customer's expense unless otherwise specified in the offer.

9. Privacy

ROGUESTUDIO is committed to confidentiality regarding all information provided, unless explicitly agreed to disclosure.

10. Limitation of liability

ROGUESTUDIO declines all responsibility in the event of external intervention or misuse of deliverables by the customer. Any corrective intervention will be invoiced extra. Indirect damage is not covered.
The customer guarantees that all content (texts, images, videos, logos, etc.) provided is free of rights or authorized for use. ROGUESTUDIO accepts no liability for the use of any content that does not comply with these conditions.

11. Force majeure

In the event of force majeure preventing the normal execution of the contract (such as pandemic, war, natural disaster, cyber attack, etc.), ROGUESTUDIO cannot be held responsible for delays or suspension of services. A postponement or rescheduling will be proposed in good faith between the parties.

12. SEO optimization and indexing

As part of its web services, ROGUESTUDIO applies best technical practices, without this constituting optimization work. This basic service includes :

  • a legible permalink structure free of unnecessary technical slugs;
  • the addition of a reference SEO plugin;
  • checking the title, description and meta tags on the home page;
  • the addition of a cache plugin to improve performance;
  • submission of the site to Google Search Console for indexing;

These technical interventions should not be considered as strategic or editorial SEO support. More in-depth optimization work (keywords, content, netlinking, auditing, performance monitoring, etc.) may be the subject of a separate mandate or a complementary offer.

13. Right of termination and cancellation (one-off projects)

Any contract may be terminated in writing by either party.

For one-off projects, services already rendered, including project management phases or appointments, will be invoiced. In the event of non-payment or collaboration interrupted by lack of responsiveness on the part of the customer, ROGUESTUDIO reserves the right to suspend or terminate the project and to demand partial or full payment.
For recurring support contracts, 30 days' notice must be given by the end of the current month. Any monthly instalments already paid remain due.

In the event of early termination, the discounts or rebates provided for in the initial offer no longer apply, and billing will be adjusted to the standard rate without reduction.

14. Customer insolvency and bankruptcy

ROGUESTUDIO reserves the right to immediately suspend the performance of current services in the event of proven insolvency, an application for debt-restructuring moratorium or the opening of bankruptcy proceedings against the customer.
ROGUESTUDIO may also terminate the contract early and demand immediate payment of all amounts due for services already rendered. Any claims will be asserted in the current proceedings in accordance with the provisions of Swiss law.

15. Applicable law and jurisdiction

The contract is governed by Swiss law, in particular the Swiss Code of Obligations. In the event of a dispute, the competent Swiss courts shall have jurisdiction.
